Since our foundation, Nissha has been executing strategies under committed leadership that promptly address changes in the business environment. We believe that strengthening corporate governance, along with such leadership, will promote agile and decisive decision making, as well as ensuring management transparency and fairness. Based on this recognition, we have placed corporate governance as one of the key management issues, and strive to maintain and improve it to seek out sustainable corporate growth and an increase in corporate value over the medium- to long-term.

As part of our efforts to strengthen corporate governance, we are focusing on improving the diversity and effectiveness of our Board of Directors and upgrading global governance.

In terms of the diversity of the Board of Directors, Nissha emphasizes securing a wide range of experiences and perspectives necessary in light of the Company's medium- to long-term growth strategy, as well as expertise in a range of fields related to management. With regard to the effectiveness of the Board of Directors, we have been working on continuous improvements to enhance the effectiveness of our Corporate Governance Code by conducting an annual analysis and evaluation of the composition and operation of the Board of Directors in the previous year.

In terms of global governance, we improve the operation of the internal control system based on business organization, and facilitate cooperation in administration functions across group companies through the Regional Collaboration Committees in the Americas, Europe, and China, to promote the creation of tangible and intangible synergies.
